Employee Vetting

Confidentiality: All employees are bound by a confidentiality agreement to protect the Client’s personal information and the integrity of their property. Identification: Employees of the Service Provider will be clearly identifiable through company-issued uniforms and badges at all times while on the Client’s property. Subcontractors: Service Provider is permitted to use subcontractors after notifying the Client. Service Provider is not permitted to use subcontractors unless explicitly agreed upon in writing by the Client. Drug and Alcohol Policy: Service Provider confirms that it maintains a drug-free workplace and that employees are prohibited from consuming alcohol or using illegal substances while on duty. Complaints and Disciplinary Actions: If the Client has a complaint concerning any employee, it should be reported to the Service Provider immediately. The Service Provider agrees to take appropriate action, which may include retraining, reassignment, or termination of the employee. Inspection Methods

Initial Walk-Through: Prior to the commencement of the cleaning services, an initial walk-through of the property will be conducted by representatives of both the Client and the Service Provider. This will establish the scope of work and any specific areas requiring attention. Quality Checks: Service Provider shall conduct regular quality checks to ensure the cleaning services meet or exceed the standards set forth in this agreement. Client Feedback: Client may utilize a feedback form or direct communication with the Service Provider to report any issues or concerns with the cleaning services provided. Scheduled Inspections: Service Provider agrees to scheduled inspections by the Client or their representative, provided reasonable notice is given. The purpose of these inspections will be to assess the quality and thoroughness of the cleaning services. Surprise Inspections: Client reserves the right to conduct surprise inspections without prior notice to ensure standards are maintained. Client agrees to provide prior notice for all inspections. Coverage Types and Damage Reporting

General Coverage: Service Provider is responsible for performing cleaning services in accordance with the scope of work outlined in this agreement. Any damages occurring due to the negligence or fault of the Service Provider will be covered by the Service Provider’s insurance policy. Damage Reporting: Client is responsible for reporting any damages incurred during the cleaning service within 48 hours of service completion. Reports should be made in writing and sent to the designated representative of the Service Provider. Damage Responsibility: If the Client reports damage that is verified to be the fault of the Service Provider, the Service Provider will assume financial responsibility for repairs or replacements. If damages are incurred due to Client’s negligence, misuse of provided supplies, or not adhering to the guidelines set forth in this agreement, the Client will bear the financial responsibility for repairs or replacements. Exclusions: The Service Provider is not responsible for pre-existing damages, normal wear and tear, or damages resulting from situations beyond their control such as, but not limited to, flooding, fires, or other natural disasters. Notice Period, Cancellation, and Confidentiality

Notice Period: Both the Service Provider and the Client are required to provide written notice at least [___] days before the termination of this cleaning services agreement. Fees for Cancellation: If the Client cancels a scheduled cleaning service with less than [] hours’ notice, a cancellation fee of []% of the total service cost will be charged. NDA Clauses (Non-Disclosure Agreement): Both the Service Provider and the Client agree that all information, whether oral or written, that is shared throughout the course of the cleaning services agreement is to be considered confidential. Such confidential information includes, but is not limited to, operational processes, client lists, pricing, and service methods. Legal Compliance: Both parties are obligated to adhere to all local, state, and federal laws pertaining to the collection, storage, and usage of personal and business information. Violations of such laws and regulations can result in immediate termination of this agreement and may be subject to legal actions. Restrictions on Use: Neither the Service Provider nor the Client shall utilize the other’s confidential information for any purpose other than those explicitly outlined in this agreement, unless otherwise permitted in writing. Adherence to Local, State, and Federal Laws & Dispute Resolution

Compliance with Laws: Both the Service Provider and the Client shall operate under the scope of this agreement in full compliance with all applicable local, state, and federal laws, regulations, and ordinances. Licenses and Permits: The Service Provider confirms that it holds all the necessary licenses and permits to carry out the cleaning services as described in this agreement. Failure to maintain such licenses and permits may result in the immediate termination of this agreement. Updates and Changes: Both parties are responsible for staying updated with changes in relevant laws, regulations, and ordinances that might affect the terms or execution of this agreement. Dispute Resolution: In the event of a dispute arising out of or relating to this agreement, both parties agree to attempt to resolve the matter amicably through direct communication. If an amicable resolution cannot be reached, the parties agree to enter into mediation before taking any further legal action. Should mediation fail to resolve the dispute, either party has the right to initiate legal proceedings.
